1. Who we are

Impact Zones ("we", "us") operates the platform described in these terms.

Impact Zones is a marketplace. Clients post briefs, and independent creators - specialists - accept and complete them. We provide the platform, hold funds in escrow and handle payment, but the creative work itself is performed by the specialist, not by us.

2. Accounts

You must be at least 18 years old and able to enter into a binding contract. You must give accurate information and keep it up to date. You are responsible for everything that happens under your account, so keep your password to yourself.

One person or business, one account. We may suspend duplicate accounts and any credits held in them.

3. Verification

Briefs where a specialist travels to meet you in person - on-set shoots and every kind of runner brief - require a verified email address and a billing address on file before the brief can go live. We may also require a verified phone number.

Remote and AI/Tech briefs require only that your credits are paid for in advance.

We verify identity because a real person is being sent to a real location. If we cannot verify you, we may decline to publish a physical brief.

4. Credits

Credits are the platform's internal unit of account, purchased in advance through our payment provider. One credit corresponds to one euro of booking value. Credits are not electronic money, not a deposit, not transferable between accounts, and carry no interest.

Credits are only ever issued by us following a completed purchase, a promotional bonus or a refund. Any attempt to create credits by other means is a serious breach of these terms and will result in immediate termination.

Unused credits can be refunded to the original payment method on request within 14 days of purchase. Credits that have been spent on a completed brief are not refundable. Promotional and referral credits have no cash value and are never refundable.

5. How a booking works, and escrow

When you post a brief, the full value of that brief - including any editing add-on - is immediately taken from your available balance and locked to that brief. The credits are neither yours to spend nor the specialist's to withdraw while they are locked. This is what lets a specialist accept your job knowing the money is already there.

Posting a brief constitutes your agreement to these Terms for that booking, including the escrow and cancellation rules in sections 5-7.

Locked credits are shown separately from your available balance in your dashboard. A brief only becomes visible to specialists once its funds are locked.

On approval, the specialist receives their share and we retain our service fee. If the brief is cancelled, the credits return to your available balance, less any kill fee described below.

6. Delivery, approval and automatic release

When a specialist delivers, you can approve the work, or request a revision where the brief allows it.

If you neither approve nor raise a dispute within 7 days of delivery, the brief is approved automatically and the escrowed credits are released to the specialist. We send reminders before this happens. Automatic approval does not record a star rating.

This exists so that a client who stops responding cannot leave a specialist's payment stuck indefinitely. If something is genuinely wrong with the work, raise it before the 7 days are up.

7. Cancellation

You may cancel a brief before any specialist has accepted it, and all locked credits return to your available balance in full.

Once a specialist has accepted, they have turned down other work to hold the slot. Cancelling after that point returns your credits less a kill fee, which is paid to the specialist as compensation. The kill fee is shown to you before you confirm.

A specialist who drops an accepted job returns the brief to the board and the client's credits stay locked for the next specialist. Dropped jobs are recorded against the specialist's profile, and repeated cancellations may lead to removal.

8. Editing by Impact Zones

Editing is an optional paid add-on in which we, not the specialist, carry out post-production on delivered material. It can be added when posting a brief or after delivery.

The editing fee is separate from the specialist's fee and is retained by us. Revision requests on edited material come back to us, not to the specialist, who has already been paid for the raw material.

Turnaround times and revision limits are shown when you select a tier and form part of these terms.

9. Fees and payouts

We charge a service fee of 20% on the value of a completed brief. The specialist receives the remaining 80%. The fee is shown before you post.

Specialists personally invited by Impact Zones may receive a reduced platform fee on their first completed brief when they sign up with a valid welcome code, as shown at the time of the offer.

Specialists may request a payout of their available balance at any time. Payouts are made by bank transfer to the IBAN on the specialist's profile and are processed within 7 working days of the request. Only one payout request may be pending at a time.

Specialists are responsible for their own taxes and social contributions. We do not withhold tax and we do not issue payslips.

10. Independent contractors

Specialists are independent contractors. Nothing in these terms creates an employment relationship, partnership, agency or joint venture between a specialist and Impact Zones, or between a specialist and a client.

Specialists decide which briefs to accept, supply their own equipment, and are free to work elsewhere, including for competitors.

11. Ownership of delivered content

The specialist owns the content they create until the brief is approved. On approval - whether by you or automatically after 7 days - the specialist grants the client a worldwide, perpetual, irrevocable licence to use, reproduce, modify and distribute that content for any lawful purpose, commercial or otherwise, for the brief it was produced under.

The specialist warrants that the content is their own work, that they have obtained any necessary permissions from people and property appearing in it, and that its use will not infringe anyone's rights.

The client is responsible for obtaining model releases, location permits and any other consents required for how they intend to use the content.

Specialists grant us a limited licence to display delivered material within the platform for the purpose of running it, and to use approved showcase and portfolio images to promote the platform. We will not sell delivered client content to third parties.

12. Keep it on the platform

All communication, delivery and payment for work originating on Impact Zones must happen through Impact Zones. Direct file transfers by AirDrop, USB, email or any other route are not permitted.

You agree not to solicit or engage a specialist or client you met through the platform for off-platform work within 7 days of your last interaction here, whether directly or through an intermediary.

Specialist identities are confidential. Clients must not request, record or publish identifying information about a specialist, and specialists must not share personal contact details with clients.

These rules exist because escrow, dispute resolution and the payment guarantee only work while the job is on the platform. Off-platform arrangements have none of that protection.

13. Acceptable use

Do not use Impact Zones for anything unlawful; to request or produce sexual, harassing, discriminatory or defamatory material; to follow, film or trace a person without their knowledge; to misrepresent who you are; or to interfere with the technical operation of the platform.

Specialists may decline any brief for any reason, and should decline briefs that feel unsafe. No specialist is required to enter a situation they judge to be unsafe, and declining on those grounds will never count against them.

14. Ratings, reviews and referrals

Clients may rate a specialist on approval. Ratings must reflect genuine experience. We may remove reviews that are abusive, fake or offered in exchange for anything.

Referral rewards and promotional credits are offered at our discretion, subject to the conditions shown at the time, and may be withdrawn or reclaimed where they have been obtained through duplicate accounts or other abuse.

15. Suspension and termination

You may stop using Impact Zones at any time and ask us to close your account. Where you have briefs in flight, we will settle or refund the escrow on those briefs first.

We may suspend or terminate an account that breaches these terms, that we reasonably suspect of fraud, or where required by law. Where we terminate for a serious breach - in particular manipulating credits, taking work off-platform, or unsafe conduct - pending credits may be forfeited.

Escrowed credits belonging to an innocent counterparty are never forfeited. If we terminate a client, funds locked on their in-flight briefs are still settled with the specialist who did the work.

16. Liability

Impact Zones provides the marketplace. We do not perform the creative work, and we do not supervise it. We are not liable for the quality, legality or timeliness of what a specialist delivers, nor for the conduct of any client or specialist.

Nothing in these terms excludes liability for death or personal injury caused by our negligence, for fraud, or for anything else that cannot lawfully be excluded. Subject to that, our total liability to you in connection with any brief is limited to the credit value of that brief.

We do not guarantee uninterrupted availability of the platform.

17. Disputes

If a delivery is not what was agreed, raise it through the platform before the 7-day automatic approval window closes. We will look at the brief, the delivery and the messages between you, and decide how the escrowed credits are settled. Our decision on escrow is final as between us and you, and does not prevent you pursuing your own remedies against the other party.

These terms are governed by the law of the country in which Impact Zones is established, and its courts have jurisdiction. If you are a consumer, you keep the protection of the mandatory rules of the country you live in.

18. Changes

We may update these terms. Where a change materially affects your rights, we will tell you before it takes effect. Continuing to use Impact Zones after that constitutes acceptance. If you do not accept, you may close your account and withdraw any unspent credits.
